Research Use Agreement

Jack & Jane, LLC is a supplier of research chemicals and analytical reference materials offered exclusively for bona fide in-vitro laboratory research, analytical method development, and educational purposes. Jack & Jane is:

• NOT a pharmacy. Jack & Jane does not hold a pharmacy license in any jurisdiction. Nothing on this site constitutes the practice of pharmacy, the dispensing of medicine, or the filling of any prescription.
• NOT a 503(a) compounding pharmacy. Jack & Jane is not licensed or registered under Section 503(a) of the Federal Food, Drug, and Cosmetic Act ("FDCA"), 21 U.S.C. § 353a. Jack & Jane does not compound pharmaceutical preparations pursuant to any patient-specific prescription.
• NOT a 503(b) outsourcing facility. Jack & Jane is not registered with the U.S. Food and Drug Administration ("FDA") as an outsourcing facility under Section 503(b) of the FDCA, 21 U.S.C. § 353b, and does not produce sterile compounded preparations.
• NOT a manufacturer of approved drugs, biologics, or devices. Jack & Jane does not hold any FDA-issued New Drug Application (NDA), Abbreviated New Drug Application (ANDA), Biologics License Application (BLA), 510(k) clearance, Premarket Approval (PMA), De Novo authorization, or Investigational New Drug (IND) effective application for any product offered on this site.
• NOT a dietary supplement, food, cosmetic, or veterinary vendor. No product offered by Jack & Jane is sold as, or intended to be, a dietary supplement, conventional food, food additive, "generally recognized as safe" (GRAS) substance, cosmetic, or veterinary product.

All items offered for sale by Jack & Jane (each a "Product" and collectively the "Products") are research chemicals supplied exclusively for in-vitro laboratory research, analytical reference, and educational purposes. Each Product:

• Has NOT been evaluated, reviewed, or approved by the FDA for any human or veterinary use.
• Is not a "drug" within the meaning of FDCA § 201(g), 21 U.S.C. § 321(g), when sold and used in accordance with this Agreement.
• Is not intended to diagnose, treat, cure, mitigate, or prevent any disease, condition, or symptom in humans or animals.
• Is not sterile, USP-grade, pharmaceutical-grade, injectable, or fit for parenteral, oral, topical, ophthalmic, otic, nasal, rectal, vaginal, or any other in-vivo route of administration to humans or animals. Products are lyophilized chemical reagents and are not compounded, reconstituted, or finished in a manner suitable for administration to a living organism.
• May exhibit pharmacological activity. Where the site references such activity (for example, mechanism-of-action descriptions or peer-reviewed citations), such references are provided solely as scientific context and do not constitute a medical, therapeutic, or health claim or any recommendation for use beyond the scope of this Agreement.
• Carries a Certificate of Analysis ("COA") characterizing the analytical identity and purity of the batch from which it was drawn. The COA is the sole representation made by Jack & Jane regarding the composition of a Product. No other representation, oral or written, shall be construed to expand or replace the COA.

You expressly agree that you will NOT, and will not permit any third party to:

• Administer any Product to a human being or an animal, by injection, ingestion, inhalation, topical application, implantation, or any other route of exposure or in-vivo administration;
• Compound, formulate, repackage, relabel, dilute, reconstitute, or otherwise prepare any Product as, or as a component of, a drug, dietary supplement, food, food ingredient, cosmetic, veterinary product, or medical device intended for human or animal consumption or administration;
• Resell, distribute, gift, or transfer any Product to any person whom you know or have reason to know intends to use the Product for any prohibited purpose described in this Section 3;
• Make, suggest, imply, or permit any third party to make, any medical, therapeutic, diagnostic, prophylactic, anti-aging, performance-enhancing, or other health-benefit claim with respect to any Product;
• Use any Product in a clinical investigation involving human subjects without (i) prior approval of a duly constituted Institutional Review Board (IRB) and (ii) an effective Investigational New Drug application filed with and authorized by the FDA;
• Use any Product for athletic enhancement, sports doping, or in violation of any World Anti-Doping Agency (WADA), United States Anti-Doping Agency (USADA), or other national or international anti-doping rule, regulation, or prohibited-substance list;
• Use any Product in violation of any federal, state, local, tribal, foreign, or institutional law, regulation, rule, ordinance, or policy, including without limitation the FDCA, the Controlled Substances Act, the Drug Supply Chain Security Act, the Federal Trade Commission Act, the Lanham Act, OSHA standards, and applicable export control laws.

By creating an account on this site, by submitting any order, and at the time each order is placed, you represent, warrant, and covenant that:

• You are at least twenty-one (21) years of age and have the full legal capacity to enter into this Agreement;
• You are acquiring the Products exclusively for bona fide in-vitro research, analytical, or educational purposes consistent with this Agreement, and not for personal consumption, resale to consumers, or any prohibited use identified in Section 3;
• You possess the scientific training, facilities, equipment, and institutional or independent authority required to handle, store, and dispose of research chemicals in a manner consistent with prevailing laboratory safety, biohazard, and environmental standards;
• You are not a patient, the agent of a patient, a prescribing healthcare practitioner seeking to dispense medication, a pharmacist filling a prescription, or any officer, agent, employee, or representative thereof, and you are not procuring any Product for therapeutic, diagnostic, or in-vivo purposes for yourself, for any third party, or for any companion animal;
• You will maintain such records of receipt, use, storage, and disposal of all Products as are necessary to demonstrate compliance with this Agreement and applicable law, and will produce such records upon reasonable request by Jack & Jane;
• All information you provide to Jack & Jane (including identity, shipping address, email, payment, and institutional affiliation) is accurate, current, and complete, and you will promptly update any material change;
• You will comply with all federal, state, local, tribal, foreign, and institutional laws, regulations, and policies governing the receipt, possession, handling, storage, use, transfer, export, and disposal of the Products.

Nothing contained on this site — including product names, dosage descriptors, mechanism-of-action summaries, amino-acid sequences, molecular formulas, peer-reviewed citations, certificates of analysis, blog posts, FAQs, AI-search responses, or any other editorial or technical content — constitutes medical, pharmaceutical, scientific, regulatory, legal, or any other professional advice. References to peer-reviewed literature describe historical research findings and are provided to scientifically contextualize the Products; they do not constitute a recommendation, endorsement, or instruction for any use beyond the scope of this Agreement. You are solely responsible for determining whether and how any Product is appropriate for your research.

Jack & Jane reserves the right, at its sole discretion and without notice or liability, to:

• Refuse, limit, cancel, hold, or revoke any order, account, or access to the site;
• Decline service to any individual, organization, address, or geographic area;
• Terminate, suspend, or restrict any account for any reason or no reason, including without limitation suspicion of intended human or animal use, false or incomplete representations, suspected fraud, suspected violation of this Agreement, or any pattern of conduct inconsistent with bona fide research use;
• Cooperate with any law-enforcement, regulatory, customs, or judicial inquiry into any account or order, and produce records pursuant to lawful subpoena or process.

You agree to defend, indemnify, and hold harmless Jack & Jane, LLC and its officers, directors, members, managers, employees, agents, suppliers, affiliates, successors, and assigns (collectively, the "Indemnitees") from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and the cost of any investigation or recall) arising out of or related to (a) your use, misuse, or distribution of any Product; (b) your breach of this Agreement; (c) your violation of any applicable law, regulation, or third-party right (including without limitation any tort, statutory, contract, or intellectual-property right); (d) any representation or warranty made by you that proves to be inaccurate, incomplete, or misleading; or (e) any personal injury, property damage, or other harm alleged to have been caused by any Product once it leaves the possession of Jack & Jane.

Except as expressly stated in an applicable Certificate of Analysis, the Products and the site are provided "as is" and "as available," without warranty of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy of data, uninterrupted availability, sterility, biological activity, or safety. Jack & Jane makes no representation or warranty that any Product is safe, effective, or suitable for any human, veterinary, dietary, cosmetic, food-contact, or in-vivo application, and any such use is expressly outside the scope of this Agreement and at the sole risk of the user.

To the maximum extent permitted by applicable law, in no event shall the Indemnitees be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost data, business interruption, loss of research results, replacement costs, or personal injury, arising out of or related to your use or inability to use any Product, the site, or the services offered through the site, regardless of the legal or equitable theory of liability (contract, tort, strict liability, statute, or otherwise) and even if Jack & Jane has been advised of the possibility of such damages.

In any event, the aggregate liability of the Indemnitees arising out of or related to the Products, this Agreement, or your use of the site shall not exceed the total amount paid by you to Jack & Jane for the particular Product giving rise to the claim during the twelve (12) months immediately preceding the event that gave rise to the claim.

Certain Products may be subject to the U.S. Export Administration Regulations, the International Traffic in Arms Regulations, the Office of Foreign Assets Control sanctions programs, or comparable foreign export control laws. You represent that you will not export, re-export, transfer, or release any Product, directly or indirectly, to any country, person, entity, or end-use prohibited by such laws. You further acknowledge that many peptide compounds are included on the World Anti-Doping Agency's Prohibited List and that any use of a Product in connection with organized athletic competition is expressly prohibited by Section 3 of this Agreement.

This Agreement, and any dispute arising out of or related to this Agreement or the Products, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.

Any dispute, claim, or controversy arising out of or related to this Agreement or the Products (a "Dispute") shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The seat of arbitration shall be Wilmington, Delaware, and the arbitration shall be conducted in the English language. Judgment on the award may be entered in any court of competent jurisdiction. You and Jack & Jane each waive any right to a jury trial and to participate in any class, collective, consolidated, or representative action with respect to any Dispute. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for any Dispute within the jurisdictional limits of that court.

If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if no such modification is possible, severed, and the remaining provisions of this Agreement shall remain in full force and effect. No failure or delay by Jack & Jane in exercising any right under this Agreement constitutes a waiver of that right. You may not assign or transfer this Agreement, in whole or in part, without Jack & Jane's prior written consent; Jack & Jane may freely assign this Agreement.

This Agreement, together with the Terms of Service, Privacy Policy, Shipping Policy, and Return Policy referenced in or accessible from this site, constitutes the entire agreement between you and Jack & Jane with respect to its subject matter and supersedes any prior written or oral agreement, understanding, or representation on the same subject. Jack & Jane may modify this Agreement at any time by posting a revised version on the site and updating the version identifier and effective date. Your continued access to the site or placement of any order after a modification constitutes your acceptance of the revised Agreement. Material modifications may, at Jack & Jane's option, require renewed electronic acceptance before further site access.

You consent to receive this Agreement and all related notices, disclosures, and communications in electronic form. Your electronic acceptance of this Agreement — including by selecting the box adjacent to "I have read and agree to the Research Use Agreement" at the time of account creation — constitutes your legally binding signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. § 7001 et seq., and applicable state law, and is admissible as evidence in any proceeding to the same extent as a handwritten signature.
